Under no circumstances shall MultiversX Foundation team be liable for any direct, indirect, special, incidental or consequential damages, including, but not limited to, loss of data or profit, arising out of the use, or the inability to use, the materials on this site, even if MultiversX Foundation team or an authorized representative has been advised of the possibility of such damages. If your use of materials from this site results in the need for servicing, repair or correction of equipment or data, you assume any costs thereof. MultiversX Foundation will not be responsible for any outcome that may occur during the course of usage of our resources. We reserve the rights to change prices and revise the resources usage policy at any moment.

MultiversX Foundation grants you a revocable, non-exclusive, non-transferable, limited license to use the Website strictly in accordance with the terms of this Agreement. These Terms & Conditions are a contract between you and MultiversX Foundation (referred to in these Terms & Conditions as "MultiversX",”MultiversX Foundation”, "us", "we" or "our"), the provider of the xday.com website and the services accessible from the xday.com website (which are collectively referred to in these Terms & Conditions as the "xday.com Service").You are agreeing to be bound by these Terms & Conditions. If you do not agree to these Terms & Conditions, please do not use the xday.com Service. In these Terms & Conditions, "you" refers both to you as an individual and to the entity you represent. If you violate any of these Terms & Conditions, we reserve the right to cancel your account or block access to your account without notice.

For this Terms & Conditions:

• Country: where the xDay event will take place, respectively Bucharest, Romania;
• Device: any internet connected device such as a phone, tablet, computer or any other device that can be used to visit xday.com and use the services.
• Service: refers to the service provided by MultiversX Foundation as described in the relative terms (if available) and on this website.
• Third-party service: refers to advertisers, contest sponsors, promotional and marketing partners, and others who provide our content or whose products or services we think may interest you.

• You: a person or entity that is registered with xday.com to use the Services.

Restrictions

You agree not to, and you will not permit others to:

Return and Refund Policy

Thank you for your purchase of summit tickets for the xDay Event. We sincerely appreciate your interest in our services and your decision to join us.

As with any transaction, there are essential terms and conditions that govern purchases at xDay. We want to keep this information concise while ensuring legal clarity. By making a purchase on xday.com, you are bound by these terms, in conjunction with xday.com's Privacy Policy.

In the event of a date change for the xDay Event after your ticket purchase, rest assured that your ticket remains valid for the rescheduled date.

Please be mindful that you have the opportunity to update, correct, or modify the information on your ticket only once, up until twenty (20) days before the event. After this timeframe, changes cannot be made.

It's important to note that tickets are non-refundable. Once purchased, they are non-transferable and non-refundable, with any exceptions subject to the discretion of the organizer.

We value your understanding and cooperation in adhering to these terms, which enable us to offer a seamless and memorable event experience for all attendees. Should you have any questions or require further assistance, please do not hesitate to reach out to us.

Obligations & Prohibitions

To ensure a safe and enriching experience for all participants, we kindly request that attendees adhere to the following guidelines:

• Age Restriction: Attendees must be at least eighteen (18) years old to purchase tickets and attend the Event.
• Badge Usage: During the Event, please wear your designated Attendee's badge securely around your neck at all times within the Event Venue. Badges are strictly for individual use, and transferring them to others is strictly prohibited.
• Compliance and Behavior: Please observe general safety rules and adhere to commonly accepted norms of behavior throughout the Event. Avoid causing any inconvenience to fellow participants.
• Prohibited Items: For security reasons, attendees are not permitted to bring dogs, pets, or any kind of animals, sharp or cutting objects, alcoholic beverages, narcotics, psychotropic substances, or any type of weapon into the Event Venue. Any prohibited items will be confiscated.
• Alcohol and Substance Use: Consumption of alcoholic, narcotic, or intoxicating substances within the Event area is strictly forbidden.
• Smoking Policy: Smoking of tobacco products, vapes, and electronic cigarettes is prohibited within the Event Hall. Designated smoking areas are available for those who wish to smoke.
• No Gambling or Trading Activities: Attendees are strictly prohibited from engaging in any gambling or trading activities during the Event.
• Advertising and Distribution: Distribution of brochures, advertising materials, or invitations unrelated to the sponsorship terms is not allowed during the Event. Attendees should refrain from distributing materials containing defamatory information or harmful content to third parties or companies.
• Respectful Communication: Attendees are expected to engage in respectful and courteous communication. Any verbal or written statements that violate norms of behavior, engage in covert or overt criminal activities, or harm the reputation of MultiversX Foundation, its employees, volunteers, or related parties, will result in immediate removal from the Event Venue without the right to a ticket price refund.

No failure to exercise, and no delay in exercising, on the part of either party, any right or any power under this Agreement shall operate as a waiver of that right or power. Nor shall any single or partial exercise of any right or power under this Agreement preclude further exercise of that or any other right granted herein. In the event of a conflict between this Agreement and any applicable purchase or other terms, the terms of this Agreement shall govern.

MultiversX Foundation reserves the right, at its sole discretion, to modify or replace this Agreement at any time. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our website after any revisions become effective, you agree to be bound by the revised terms. Entire Agreement

Furthermore, your acceptance of these Terms & Conditions underscores your complete understanding, unwavering consent, and explicit agreement concerning the dissemination of any video or photo material captured during the xDay Event. These materials may include instances where your image is prominently featured and will be strategically shared across diverse social networks meticulously handpicked by the MultiversX Foundation. This strategic dissemination aims to effectively promote and disseminate information about this exceptional event to the public.

Additionally, you graciously grant consent for the meticulous production and purposeful distribution of any video or photo material crafted subsequent to the event, wherein your image may be thoughtfully incorporated. These captivating materials, encompassing enchanting aftermovies, captivating social media posts, and other compelling promotional content, shall be strictly utilized for marketing purposes.

In line with our unwavering commitment to transparency and respect for our Speakers, they too, upon accepting the exclusive invitation and specially curated ticket, wholeheartedly consent to be featured in photography and video recordings. Our Speakers conscientiously comprehend and embrace the notion that these materials will be strategically shared across reputable social media channels, exclusively for marketing purposes. This well-thought-out strategy encompasses the alluring aftermovies, captivating event photos, and other captivating content, thoughtfully tailored to garner wide-reaching attention and enthusiasm.

Your understanding of and acceptance of these provisions underscore your invaluable contribution in ensuring an impeccably successful, captivating, and unforgettable event experience for all participants. 

Agreement to Arbitrate

This section applies to any dispute EXCEPT IT DOESN’T INCLUDE A DISPUTE RELATING TO CLAIMS FOR INJUNCTIVE OR EQUITABLE RELIEF REGARDING THE ENFORCEMENT OR VALIDITY OF YOUR OR MULTIVERSX FOUNDATION’S INTELLECTUAL PROPERTY RIGHTS. The term “dispute” means any dispute, action, or other controversy between you and MultiversX Foundation concerning the Services or this agreement, whether in contract, warranty, tort, statute, regulation, ordinance, or any other legal or equitable basis. “Dispute” will be given the broadest possible meaning allowable under law.

Notice of Dispute

In the event of a dispute, you or MultiversX Foundation must give the other a Notice of Dispute, which is a written statement that sets forth the name, address, and contact information of the party giving it, the facts giving rise to the dispute, and the relief requested. You must send any Notice of Dispute via email to: contact@multiversx.com. MultiversX Foundation will send any Notice of Dispute to your email address. You and MultiversX Foundation will attempt to resolve any dispute through informal negotiation within twenty (20) days from the date the Notice of Dispute is sent. After sixty twenty (20), you or MultiversX Foundation may commence arbitration.

Binding Arbitration

If you and MultiversX Foundation don’t resolve any dispute by informal negotiation, any other effort to resolve the dispute will be conducted exclusively by binding arbitration as described in this section. You are giving up the right to litigate (or participate in as a party or class member) all disputes in court before a judge or jury. Either party may seek any interim or preliminary injunctive relief from any court of competent jurisdiction, as necessary to protect the party’s rights or property pending the completion of arbitration. Any and all legal, accounting, and other costs, fees, and expenses incurred by the prevailing party shall be borne by the non-prevailing party.

Submissions and Privacy

In the event that you submit or post any ideas, creative suggestions, designs, photographs, information, advertisements, data or proposals, including ideas for new or improved products, services, features, technologies or promotions, you expressly agree that such submissions will automatically be treated as non-confidential and non- proprietary and will become the sole property of MultiversX Foundation without any compensation or credit to you whatsoever. MultiversX Foundation and its affiliates shall have no obligations with respect to such submissions or posts and may use the ideas contained in such submissions or posts for any purposes in any medium in perpetuity, including, but not limited to, developing, manufacturing, and marketing products and services using such ideas.

Typographical Errors

In the event you provide incorrect information due to typographical error (while entering personal info or payment info), we shall have the right to refuse or cancel any purchases placed for the service requested with incorrect information, also no compensation will be done in such a case. We shall have the right to refuse or cancel any such purchase whether or not the purchase has been confirmed and your credit card charged.

No Financial Advice

All materials are for informational and promotional functions only. Content will be created and disclaimed so as now not to be construed as legal, tax, investment, financial, or other advice.

Miscellaneous

If for any reason a court of competent jurisdiction finds any provision or portion of these Terms & Conditions to be unenforceable, the remainder of these Terms & Conditions will continue in full force and effect. Any waiver of any provision of these Terms & Conditions will be effective only if in writing and signed by an authorized representative of MultiversX Foundation.
